By accessing or using the website at https://kblix.ng or engaging any of our services, you ("Client" or "you") agree to be legally bound by these Terms of Service ("Terms").
These Terms constitute a binding agreement between you and KcableX Techiverse Ltd (registered in Nigeria, trading as KBLIX), whose principal place of business is in Lagos, Nigeria.
If you are entering into these Terms on behalf of a business or organisation, you represent that you have the authority to bind that entity. If you do not agree with any part of these Terms, you must not use the Site or engage our services.
KBLIX provides professional digital and technology services, including but not limited to:
Website design, development, and maintenance
Graphic design and visual branding
Digital marketing and social media management
SEO (Search Engine Optimisation)
IT support and computer maintenance
Computer training and ICT education
Printing and branded merchandise production
POS system setup and support
Software solutions and custom web applications
Specific services, deliverables, timelines, and pricing are agreed upon in a separate Service Agreement, Proposal, or Invoice. In case of conflict, those documents take precedence over these Terms.
- All quotations issued by KBLIX are valid for 14 calendar days from the date of issue, unless otherwise stated.
- Prices are quoted in Nigerian Naira (NGN) unless an alternative currency is explicitly agreed in writing.
- KBLIX reserves the right to revise its standard pricing at any time. Changes will not affect services already contracted in writing.
- Quotations are based on the scope of work described at the time of inquiry. Scope changes after commencement may result in revised pricing — see Section 07.
Deposit
A minimum deposit of 50% of the total project fee is required before work begins. No work commences without it.
Balance
The remaining balance is due upon project completion, prior to final delivery or website go-live.
Recurring Services
Monthly retainers are invoiced at the start of each month and due within 7 days of the invoice date.
Late Payments
Invoices overdue by more than 14 days attract a 3% per month late fee. Active services may be suspended on overdue accounts.
Refunds
Deposits are non-refundable once work has commenced. If KBLIX cancels before commencement, your deposit is refunded in full within 14 business days.
Payment Methods
We accept bank transfers and mobile transfers to official KBLIX accounts. Always verify account details with us directly before transferring.
To enable KBLIX to deliver services effectively and on time, you agree to:
- Provide all required content (text, images, logos, brand assets, credentials) in the format and within the timeline specified by KBLIX.
- Respond to feedback requests, approval requests, and questions within a reasonable timeframe. Delays caused by lack of client response do not entitle the client to compensation or a fee reduction.
- Ensure that all content, materials, and information you provide are accurate, lawful, and do not infringe the intellectual property rights of any third party.
- Nominate a primary point of contact for the project with authority to provide approvals and make decisions on your behalf.
- Provide login credentials, hosting access, or third-party platform access where required, and ensure such access is legitimate and authorised.
Client Content
You retain full ownership of all content, materials, and assets you provide to KBLIX. You grant us a non-exclusive, royalty-free licence to use such materials solely for the purpose of delivering your project.
Deliverables — Upon Full Payment
Upon receipt of full payment, KBLIX assigns to you all ownership rights in the final custom deliverables created specifically for your project (e.g. website code, bespoke graphic designs, written content produced by KBLIX on your behalf).
KBLIX Tools & Frameworks
Pre-existing tools, frameworks, scripts, libraries, templates, or methodologies used by KBLIX remain our intellectual property or that of their respective licensors. You receive a perpetual, non-exclusive licence to use such elements as incorporated into your deliverable, but not independently.
Portfolio Rights
KBLIX reserves the right to display completed work in our portfolio and marketing materials, unless you have specifically requested in writing prior to project commencement that your project remain confidential. We will never share commercially sensitive client data as part of any portfolio display.
Third-Party Assets
Where your project incorporates third-party assets (stock photos, fonts, plugins, themes, or licenced software), you are responsible for ensuring the appropriate licences are in place and remain valid. KBLIX will advise on licencing requirements but is not liable for breaches arising from your failure to maintain valid subscriptions.
- Each service agreement will specify the number of included revision rounds.
- Revisions beyond the agreed number will be quoted and billed separately at our current rate.
- Any request to add features, pages, or functionality not included in the original scope constitutes a change of scope and is subject to a revised quote and timeline.
- KBLIX will provide a written change request note for any scope change. Work on additions will not begin until the change is approved and, where applicable, a deposit on the additional amount is received.
- Estimated timelines are provided in good faith and are based on the agreed scope and timely supply of client materials and approvals.
- Timelines may be affected by delays in receiving client content or feedback, scope changes, third-party service disruptions, or circumstances beyond our reasonable control.
- KBLIX will communicate any anticipated delays as soon as reasonably practicable.
- Time-sensitive projects may attract a rush fee, which will be agreed upon before work begins.
KBLIX Warrants That
- Services will be delivered with reasonable skill and care.
- Deliverables will materially conform to the agreed specifications at the point of handover.
No Guarantee of Specific Outcomes
- Specific search engine rankings, advertising performance, or social media growth figures — digital marketing outcomes are influenced by factors outside our control.
- Uninterrupted, error-free performance of third-party platforms, hosting providers, or software.
- That a website or application will be free from all bugs or security vulnerabilities indefinitely after handover.
Post-Handover Bug Fixes: KBLIX will rectify bugs attributable to our work at no additional charge within 30 days of handover. After this period, fixes are subject to our standard support rates unless covered by an active maintenance retainer.
To the fullest extent permitted by Nigerian law, KBLIX's total aggregate liability for any claim shall not exceed the total fees paid by you for the specific service that gave rise to the claim in the 12-month period preceding the event.
KBLIX shall not be liable for any:
- Loss of profits, revenue, or anticipated savings.
- Loss of data or business interruption.
- Indirect, special, incidental, or consequential losses.
Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement and not to disclose it to third parties without prior written consent. This obligation survives termination of the service relationship for a period of 3 years.
Cancellation by Client
- Before work commences: deposit refunded in full.
- After work commences: deposit is forfeited; you are liable for all work completed to date at our standard hourly rate.
- Monthly services: 30 days' written notice required; billing continues through the notice period.
Cancellation by KBLIX
KBLIX may cancel or suspend a project if:
- Payment is overdue by more than 14 days.
- You engage in abusive or threatening conduct.
- Continuing would require KBLIX to act unlawfully.
By using our Site or services, you agree not to:
- Submit false, misleading, or fraudulent information.
- Engage us to create content that is unlawful, defamatory, obscene, or infringes any third party's rights.
- Attempt to gain unauthorised access to our systems or client data.
- Use our Site to transmit malware, spam, or any harmful code.
- Misrepresent your identity or affiliation with any organisation.
Violation of these provisions entitles KBLIX to immediately terminate services without refund and to pursue any applicable legal remedies.
KBLIX shall not be in breach of these Terms or liable for any delay or failure to perform our obligations where such delay or failure arises from events beyond our reasonable control, including but not limited to acts of God, power outages, telecommunications failures, government restrictions, civil unrest, or natural disasters. We will notify you as soon as practicable and make reasonable efforts to resume performance.
- These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
- In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 21 days.
- If negotiation fails, disputes shall be referred to mediation administered in Lagos, Nigeria.
- If mediation is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
KBLIX reserves the right to update these Terms at any time. Material changes will be communicated via the Site and/or email. Continued use of the Site or services after the effective date constitutes acceptance. For existing active service agreements, changes apply only upon renewal or commencement of a new project.
